Astura advised Vista Group Holding on the acquisition of 99.99% of the share capital and voting rights of Sanlam Allianz Niger Assurances from SanlamAllianz, a pan-African insurance group created by Sanlam Group (Africa’s leading non-banking insurer) and Allianz SE (a global insurance leader).

This transaction is part of Vista Group’s strategy to expand its insurance activities across the African continent. It takes place within a highly regulated sector and involves structuring considerations in line with local regulatory requirements. The financial terms of the transaction remain confidential.

In this context, Astura’s support drew on its expertise in regulated-sector transactions to assist in structuring the deal and ensuring its successful implementation, while securing a balanced protection of the parties’ interests. The team also leveraged its experience in complex carve-out operations to anticipate the integration challenges associated with incorporating the target into Vista Group.
